When you buy a Swiss SRO company through FintechLex, you buy a company that has already been checked.
That is the whole point. A company affiliated with a self-regulatory organisation (SRO) is the fastest legal way to start a financial business in Switzerland: crypto exchange, payment services, escrow, a neobank front end. Founders from Asia and Europe buy them every month, because it lets them start working in weeks instead of going through a long application with no guarantee at the end. But the speed is only worth something if the company is clean.
So we never put a company on the market on the seller’s word. We work with partners in Geneva (lawyers, fiduciaries and other qualified professionals), and before any SRO company is offered for sale, we have a due diligence report prepared on it. The report examines the points below. And the person who prepares the report also signs the warranty that comes with the sale.
Buying with us is the assurance that all of this has been done properly, before you pay anything.
First, what you are buying
There is no “SRO licence” that moves from one company to another like a car registration. You are buying shares in a Swiss company that is a member of an SRO recognised by FINMA, the Swiss Financial Market Supervisory Authority. The company is a financial intermediary under the Anti-Money Laundering Act; its SRO sets its anti-money laundering rules, supervises it and audits it, and FINMA supervises the SRO.
This is good news for a buyer. The membership belongs to the company, so it stays in place when the shares change hands. The company keeps its registration, its history and its compliance set-up. What changes is who owns and runs it, and the SRO is informed through a well-known procedure, which we handle with you.
If you are still deciding whether to buy or to apply yourself, we compare both routes in Swiss SRO Licence 2026: Requirements, Cost, Timeline — Apply or Buy?.
What the due diligence report examines
The corporate file
The incorporation documents, the articles of association, the board of directors and the registration in the commercial register. The report confirms that the company is active and in good standing, that its share capital is in order, and that its purpose clause fits the business. If the purpose needs adjusting for your activity, we prepare the change as part of the transaction.
Taxes
Tax returns filed and up to date. Where a period is still open at the time of sale, the seller files it and pays any tax due, at its own expense.
The report also covers a specific Swiss trap that catches buyers of companies sold by unprepared sellers. When a company has been emptied of its business and holds essentially cash, and its shares are sold, the Swiss tax authorities can treat the sale as a liquidation. The Federal Supreme Court has confirmed that the part of the price above the paid-in capital can then be subject to the 35% withholding tax (decision 2C_566/2010). In Switzerland this is known as the purchase of a “shell” (Mantelhandel). It is entirely avoidable with the right structure and the right balance sheet at closing, which is exactly why it is dealt with on the selling side, before the company reaches you.
Contracts and employees
No undisclosed leases, employment contracts or other obligations. You do not take over a forgotten software contract or a staff cost you did not expect.
Debts and litigation
The company’s status is checked with the debt enforcement office. The report confirms that there are no outstanding debts, no tax, VAT or social insurance arrears, no claims or negative credit reports, and no past, current or threatened legal disputes.
The SRO membership and its scope
A valid membership, confirmed with the SRO, and the activities it covers: for example payment transactions, foreign exchange, trading for own or third-party account, credit, or crypto wallet and exchange services, depending on the company.
This is the point we match against your business plan before you commit. A company affiliated for currency exchange is not automatically covered for crypto custody, and some activities need a FINMA licence rather than an SRO, such as discretionary asset management or accepting deposits from the public. We tell you upfront. We explain where the line runs in SRO or Licence: Which Do You Need?.
The regulatory record
No past or present regulatory actions or investigations, and no prior refusal of membership by an SRO or by FINMA. A company with an open matter with its SRO is not one we put on the market.
The warranty: signed by the person who did the report
A report tells you what was checked. A warranty tells you who pays if something was missed.
The report ends with a warranty signed by the professional who prepared it, the party who stands behind the sale. If a claim ever arises from something that happened before you took over (a tax debt, a debt of any kind, a lawsuit, a regulatory action, a negative credit report), the signatory commits irrevocably to indemnify the company and the buyer, at its own risk and expense, and to take any protective action needed.
That is the difference between buying a company and buying a promise. You do not have to take our word for it. You get it signed.
What buying with us means for you
A company that fits your plan. We do not sell you whatever is available. We propose the company whose membership scope matches what you want to do, from where, and with which clients.
A Swiss-resident representative from day one.
Swiss company law requires that a company limited by shares, or a limited liability company, can be represented by at least one person resident in Switzerland (Article 718 paragraph 4 and Article 814 paragraph 3 of the Code of Obligations). For a buyer based in Bangkok, Hong Kong or Dubai, this is the first practical question. We solve it before closing.
The compliance side in place.
The companies we sell come with their anti-money laundering framework (internal directive, risk analysis, client acceptance and monitoring rules) ready to be adapted to your activity. Most of our buyers want a company with no inherited client book, so they start their own business on a clean base. That is what we normally offer. We also tell you exactly what the SRO expects from the new owners on compliance and training, and help you put the right person in place.
The change of control handled.
Every SRO wants to know who owns and runs its members, so the new shareholders, directors and compliance officer are reported and reviewed: identity, background, reputation. It is close to the “fit and proper” test described in Fit and Proper: What FINMA Looks At Before It Licenses You. We prepare your file with you, in the form the SRO expects, and handle the exchange. Prepared properly, it is a formality.
Banking that actually works.
An SRO company without an account cannot do business. We are frank about the Swiss market in 2026: private banks still work with SRO companies, including in crypto, but mostly for high-net-worth clients with large transactions. For everyone else, electronic money institutions and white label solutions are faster and more practical, and we help you set up the one that fits your volumes. Who buys Swiss SRO companies from us
- Crypto founders from Asia who want a Swiss base for exchange, brokerage or payment services, with a regulated status that clients and partners recognise.
- European payment and FX businesses that want a Swiss entity alongside their EU structure.
- Neobank and card projects that combine a Swiss SRO company with white label infrastructure for accounts and cards.
- Escrow and trade businesses that need to hold and release client funds under a recognised anti-money laundering framework.
- Family offices and investors adding a regulated Swiss company to their group, often as a first step before a larger licence.
How a purchase works, step by step
- First call. You tell us what you want to do, from where and with which clients. We tell you honestly whether an SRO company fits, or whether you need something else.
- The right company. We propose a company whose membership scope matches your business, with its due diligence report already done.
- Your file. We collect your identity, background and source-of-wealth documents in the form the SRO and the banks expect.
- Signing. A clear share purchase agreement, the due diligence report and the signed warranty, and the change of control reported to the SRO with a complete file.
- Handover. Directors, Swiss-resident representative, compliance and documentation in place on closing day.
- Going live. We help you set up the payment side and stay available for your first questions from the SRO and your first audit, described in The Swiss SRO Annual Audit: What the AML Auditor Checks, and How to Pass It.
Why not just buy on the open market?
You can. Some companies on the open market are fine. Others come with a membership that does not cover what the buyer was told, an open matter with the SRO, a client book nobody can explain, a bank that has already given notice, or a balance sheet that turns the sale into a tax event. Buyers usually discover these things after paying, and without a warranty there is nobody to turn to.
FintechLex has bought, affiliated and sold SRO companies for clients from Asia and Europe. We know what SROs and banks ask for, because we have answered them many times. That experience is what goes into every company we offer.
And the reform coming next
Switzerland is preparing two new FINMA licences, one for payment instrument institutions and one for crypto institutions. Some activities carried out by SRO members today will move under these licences once the reform is in force. Many others will stay with the SRO. We take this into account when we match a company to your plan. For a founder starting from Asia, the full route is laid out in Setting Up a Swiss Crypto Company from Asia in 2026.
The companies currently available, with escrow, crypto, payments and neobank profiles, are listed on our Swiss SRO Companies for Sale page. Availability changes quickly, and prices are on request.
