Two EU Payment Institutions Currently for Sale — A Rare Opportunity

It is becoming increasingly difficult to find Payment Institutions for sale in Europe.

While a number of Electronic Money Institutions (EMIs) still come to market, clean EU Payment Institutions are considerably rarer.

FintechLex is currently involved in two separate EU Payment Institution acquisition opportunities.

PI 1 — Spanish Payment Institution with EEA Passporting

A fully licensed Spanish Payment Institution offering an established regulated entry point into the European payments market.

Key characteristics:

  • Jurisdiction: Spain
  • Licence: Payment Institution
  • Active permission for money remittance
  • EEA passporting
  • Safeguarded account already in place in Spain
  • No regulatory issues, sanctions or pending matters
  • No active business — a clean structure for the acquirer
  • Existing regulatory relationship with the Banco de España
  • Suitable for a fintech, payment group or financial institution seeking a ready-made European payments platform

Purchase price: €850,000 + €125,000 regulatory capital
Total including capital: €975,000

The opportunity concerns the acquisition of the licensed structure itself, with no active operating business or legacy liabilities. DOC-20260903-WA0021_260930_1641…

PI 2 — Newly Registered EU Payment Institution

The second opportunity is a freshly registered EU Payment Institution, structured as a turnkey acquisition.

Key characteristics:

  • Newly registered EU Payment Institution
  • No active clients
  • No liabilities
  • Safeguarded account established with a local bank
  • Accounting and compliance audit completed
  • Existing technology infrastructure for payments and remittances
  • Physical office already in place
  • Local-resident team available during the ownership transition
  • Seller assistance with opening the operating bank account

Purchase price: €1.49 million + regulatory capital

The structure is designed to allow a new owner to start operating without having to build the entire regulated framework from scratch. EU_PI_Teaser

Why these opportunities stand out

The European market currently offers far more EMIs than PIs.

That makes it unusual to have two EU Payment Institutions available for acquisition at the same time, particularly where the structures are clean and already regulated.

For fintechs, payment groups, financial institutions or investors seeking a regulated European payments platform, acquiring an existing PI can provide a significantly faster route to market than establishing a new institution from zero.

Both transactions remain subject to due diligence, definitive agreements and any applicable regulatory approvals.

Qualified buyers only. Further information is available under NDA.
